S45 has announced the launch of Asia’s first AI-led investment banking platform, aimed at modernising how Indian companies manage the IPO process across both SME and Main Board markets.
The platform replaces legacy, manual workflows with a real-time, intelligence-driven operating framework designed to improve efficiency, transparency, and execution certainty throughout the IPO lifecycle.
Founded by Deepank Bhandari, Pankaj Harlalka, Aman Singh and Tushar Sharma, S45 addresses long-standing structural inefficiencies in India’s capital markets, where IPO execution continues to rely heavily on spreadsheets, email-based coordination, and fragmented data systems. By embedding automation, predictive analytics and governance controls into a unified platform, S45 enables issuers to manage eligibility, disclosures, valuation, regulatory interactions and investor demand through a single, integrated system.
Despite the rapid growth in India’s IPO volumes and investor participation, core processes such as DRHP preparation, SEBI query management, valuation modelling and demand assessment have remained largely unchanged. S45’s platform integrates these functions end-to-end, offering real-time visibility and control from IPO readiness assessment through post-listing performance tracking. This allows CFOs, boards and promoters to reduce execution risk, enhance pricing discipline and improve governance outcomes.
Commenting on the launch, Deepank Bhandari, Co-Founder, S45, said the platform represents a structural shift rather than incremental digitisation. He added that S45 introduces predictive models, AI-driven validation and live data synchronisation to create a measurable, transparent pathway across the IPO journey, moving issuers from reactive decision-making to precision-led execution aligned with global capital market standards.
The platform offers capabilities including AI-powered IPO readiness assessments, version-controlled disclosure and DRHP management, structured SEBI query workflows, valuation models linked to live market comparables, investor demand analytics, dynamic pricing simulations, allocation intelligence and post-listing investor relations planning. This integrated approach helps reduce regulatory friction, accelerate decisions and strengthen investor confidence.
S45 also brings sector expertise across Aerospace & Defence, Automotive, Chemicals, Consumer, Energy, Financial Services, Healthcare, Industrials, Technology, Agriculture, Education and Hospitality, combining investment banking experience with technology and data engineering to build next-generation capital market infrastructure.
Since its pilot phase, S45 has supported 26 IPOs, enabling capital raises of Rs 1,120.8 crore and cumulative investor bids of Rs 3,64,719 crore. These transactions recorded peak subscription levels of 325x, average subscriptions of 168.4x, average listing gains of 43.1 per cent, and an average gain of 62.5 per cent over issue price, highlighting the platform’s impact on price discovery, investor confidence and post-listing performance.
