Nisus Finance launches NIFCOT1 to tokenise institutional real estate

Nisus Finance Services Co Limited has launched NIFCOT1, its first tokenised investment offering linked to the Nisus High Yield Growth Fund, marking the company’s entry into blockchain-enabled real-world asset investing.

The new offering is backed by the company’s DIFC-regulated real estate fund based in Dubai, which invests in completed, pre-leased and income-generating residential and commercial properties across the GCC and EMEA regions.

NIFCOT1 represents Nisus Finance’s move towards bringing institutional real estate investments onto blockchain infrastructure through a compliance-focused framework. The offering is structured through a Special Purpose Vehicle, with the tokens representing economic interests connected to the underlying fund.

The inaugural issuance comprises 100,000 digital ownership tokens with a value of USD 50 million. It forms part of a wider USD 500 million multi-tranche roadmap for tokenised real-world asset offerings.

Nisus Finance is bringing the offering to market in partnership with Toyow, a digital asset marketplace operated by Xchain Technologies FZCO. NIFCOT1 will also become the first asset to be listed on the Toyow Marketplace under a memorandum of understanding covering the broader roadmap.

The structure includes institutional-grade safeguards, with ownership records maintained on-chain to support real-time auditability. Investors are required to complete KYC and onboarding procedures before allocation, subject to applicable jurisdictional requirements.

Token holders receive contractual economic rights through the Special Purpose Vehicle rather than governance rights over the underlying real estate fund.

By digitising investment interests instead of changing the underlying assets, Nisus Finance aims to create a more accessible and transparent layer for participation while preserving the existing regulated fund structure.

The launch reflects the growing use of blockchain technology in private markets, where large capital requirements and limited accessibility have traditionally restricted participation. Nisus Finance believes tokenisation can combine regulated asset management with digital infrastructure to improve transparency, operational efficiency and compliance.

With NIFCOT1, the company is positioning regulated real estate alongside blockchain-enabled ownership infrastructure while maintaining institutional governance standards. The USD 500 million roadmap also signals Nisus Finance’s broader ambition to expand its presence in the evolving real-world asset tokenisation market.
